[Ansteorra] [Southern] CLOSED MEETINGS

I was told by someone at Pennsic who organizes 501(c)3 organizations that
only the Board of Directors could have closed meetings and even they must
(1) post advanced notification of the meeting and the general areas of
discussion (e.g. personnel issues, ...) and (2) the topics discussed are
limited to employee (and I assume volunteer?) personnel issues and
litigation issues. No lower level unit of a 501(c)3 could have closed
meetings. I don't know if she was right or not, but she has much more
knowledge and experience with the IRS regulations than I do. Perhaps the
Kingdom's legal counsel can give advice on it.

I can certainly see where this is a problem when the personnel or litigation
is centered around a Kingdom, but perhaps an open meeting would stop the
conspiracy pundits.

Although I do not have the code in front of me, unless they have changed the
laws, organizations including 501K's CAN have closed meetings. The law
there pertains specifically to open RECORDS. For example, I work for the
public schools and the school board has closed door sessions all the time.

Honestly, in my experience it's not transparency as much as simplicity
that
makes it benificial to have these meetings closed. The GOofS talk and
correspond with each other quite a bit, but there is some face to face stuff
that needs to be discussed. An hour before the day *is* enough time to get
it done, but not if we are asked a lot of questions by people who are
interested in delving into the details. The things that are discussed are
the same one discussed at the meeting later in the day.

If state law (Texas or Oklahoma) does require open meetings, I'd be
interested to know. My research a decade or so ago in OK makes me think
that you can have closed meetings so long as you are not the government.
There are a buncha caveats, but that was the basic.
