[ANSTHRLD] "Fieldless" Question

I was wondering if there was a conflict between these two imaginary devices?

"Azure, a lion passant within a bordure Or."
and
[Fieldless] "A lion passant Or."

I tried to get it out of the rules, but to no avail.
